For the past 10 months, <strong>Esplanade Capital<\/strong> has been laying siege to Archon, bombarding it with press releases and trawling for disgruntled shareholders.<\/p>\n<p><a href=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/05\/Sue-Lowden.jpg\"><img loading=\"lazy\" class=\"alignleft size-medium wp-image-3228\" alt=\"Sue Lowden\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/05\/Sue-Lowden-216x300.jpg\" width=\"216\" height=\"300\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/05\/Sue-Lowden-216x300.jpg 216w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/05\/Sue-Lowden-108x150.jpg 108w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/05\/Sue-Lowden.jpg 400w\" sizes=\"(max-width: 216px) 100vw, 216px\" \/><\/a>Last March, <a href=\"http:\/\/www.casinocitytimes.com\/article\/investment-firm-makes-offer-for-laughlin-casino-operator-archon-corp-62057\" target=\"_blank\" class=\"broken_link\">Esplanade offered $17.50\/share &#8212; a 62% markup<\/a> &#8212; for Archon stock. No sale. <a href=\"http:\/\/www.bizjournals.com\/boston\/news\/2013\/06\/04\/shawn-kravetz-esplanade-casino-bid-107m.html\" target=\"_blank\" class=\"broken_link\">The offer was upped again in June<\/a>. Nothing doing. Earlier this month, Esplanade made a $19.25\/share offer, a bid that it shared with the media by means of a letter to Archon Secretary <strong>Sue Lowden<\/strong>. (Remember her?) Its motivation? &#8220;<em>The rapidly approaching sale of the <strong>Gaithersburg<\/strong> <strong>Maryland<\/strong> property for $76.3 million expected to close no later than April 30, 2014<\/em>.&#8221; Esplanade is also swooning over the <a href=\"dmckee.lvablog.com\/?p=12327\" target=\"_blank\">goofy<\/a> <strong>All Net Arena &amp; Resort<\/strong> proposed for Archon&#8217;s old <strong>Wet &#8216;n Wild<\/strong> acreage.\u00a0Esplanade boasts of a silent partner &#8220;<em>who has built an impeccable track record of several billion dollars worth of real estate acquisitions, restructurings, and recapitalizations over the past three decades<\/em>.&#8221; Further escalating <!--more-->the rhetoric, Esplanade President <strong>Shawn Kravetz<\/strong> says Archon &#8220;<em>seems to be run as the personal fiefdom of Mr. <strong>Paul Lowden<\/strong> and not for the benefit of all shareholders given the series of related party transactions between the Company and the Lowden family, the Company &#8216;going dark&#8217; in 2011, and the galling lack of responsiveness to our requests as a concerned shareholder. We remind the Board that it has fiduciary duties to all shareholders and not just to Paul Lowden and his family<\/em>.&#8221;<\/p>\n<p>With a theatrical flourish of despair, Kravetz concludes, &#8220;<em>While we would prefer to negotiate an acquisition privately, the Company\u2019s response so far indicates that the Board prefers to do otherwise.
