That&#8217;s a lot of nickels. The $83.30\/share acquisition price <a href=\"http:\/\/online.wsj.com\/articles\/scientific-games-to-buy-bally-technologies-1406893130\" target=\"_blank\" rel=\"noopener noreferrer\">is a 38% premium<\/a> to where the stock was trading and should be a big enough markup to scare off other would-be buyers &#8230; although, <!--more-->to be realistic, who is left out there who could swing such a deal? SGMS stock jumped 17% on the news, reversing a yearlong slump.<\/p>\n<p>&#8220;The deal expands Scientific Games&#8217; portfolio to include leading casino management systems and table products, including automatic shufflers, <a href=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/03\/GavinIsaacs.jpg\"><img loading=\"lazy\" class=\"alignright size-full wp-image-6031\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/03\/GavinIsaacs.jpg\" alt=\"GavinIsaacs\" width=\"150\" height=\"188\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/03\/GavinIsaacs.jpg 150w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/03\/GavinIsaacs-119x150.jpg 119w\" sizes=\"(max-width: 150px) 100vw, 150px\" \/><\/a>proprietary table games and electronic table systems,&#8221; according to the <em>Wall Street Journal<\/em>. As one exec put it, Scientific becomes a one-stop shop. Selling points of the deal include a projected $220 million in savings generated by a Scientific\/Bally&#8217;s synergy. \u00a0Scientific CEO <strong>Gavin Isaacs<\/strong>\u00a0(<em>right<\/em>) comes out the big winner in the deal, with Bally&#8217;s <strong>Richard Haddrill<\/strong>\u00a0(<em>below<\/em>) and current Chairman <strong>David Robbins<\/strong> relegated to the board. Both companies&#8217; board unanimously approved the transaction &#8212; a paltry word for such a mega-deal, one hatched in a mere three weeks and in deepest secrecy, with <strong>J.P. Morgan<\/strong> bankers helping play matchmaker.<\/p>\n<p>Scientific also gets whatever&#8217;s left of <strong>SHFL Entertainment<\/strong> and <strong>Dragonplay Ltd<\/strong>., Bally acquisitions from the last two years. Dragonplay will help Scientific beef up its online presence. In terms of <a href=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2012\/03\/Haddrill.jpg\"><img loading=\"lazy\" class=\"alignleft size-medium wp-image-8696\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2012\/03\/Haddrill-239x300.jpg\" alt=\"Haddrill\" width=\"239\" height=\"300\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2012\/03\/Haddrill-239x300.jpg 239w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2012\/03\/Haddrill-119x150.jpg 119w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2012\/03\/Haddrill.jpg 250w\" sizes=\"(max-width: 239px) 100vw, 239px\" \/><\/a>market capitalization, the deal is a guppy devouring a whale, <a href=\"http:\/\/www.bloomberg.com\/news\/2014-08-01\/scientific-games-buys-bally-technologies-for-5-1-billion.html\" target=\"_blank\" rel=\"noopener noreferrer\" class=\"broken_link\">but the two companies&#8217; revenue base is relatively equivalent<\/a>. The marriage of Scientific and Bally is very bad news for IGT CEO <strong>Patti Hart<\/strong>. <strong>Stifel Nicolaus Capital Markets<\/strong>\u00a0analyst <strong><span style=\"color: #2d2b2c;\">Steven Wieczynski<\/span><\/strong>\u00a0says the merged companies &#8220;<span style=\"color: #2d2b2c;\">will effectively be able to compete with <strong>Gtech<\/strong>\/IGT in every aspect.\u201d They will also enjoy market-share parity of 35% each. &#8220;While there has been a tremendous amount of consolidation in the gaming equipment space recently, we didn\u2019t see this combination coming together so quickly,\u201d Wieczynski added.<\/span><\/p>\n<p>The merger is unlikely to meet with any resistance from the <strong>Nevada Gaming Commission<\/strong>. However, the <strong>Federal Trade Commission<\/strong><br \/>\n<a href=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2013\/02\/Bally_logo1.jpg\"><img loading=\"lazy\" class=\"alignright size-thumbnail wp-image-10431\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2013\/02\/Bally_logo1-150x76.jpg\" alt=\"Bally_logo1\" width=\"150\" height=\"76\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2013\/02\/Bally_logo1-150x76.jpg 150w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2013\/02\/Bally_logo1-300x153.jpg 300w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2013\/02\/Bally_logo1.jpg 572w\" sizes=\"(max-width: 150px) 100vw, 150px\" \/><\/a>ought to take a long, hard look at the antitrust implications, especially since it effectively reduces the domestic industry to two players. (Isaacs counters that IGT is still much larger.) Scientific, don&#8217;t forget, is still digesting <strong>WMS Industries<\/strong>, which it bought almost a year ago.<\/p>\n<p>And <a href=\"http:\/\/www.reviewjournal.com\/business\/casinos-gaming\/scientific-games-buy-bally-51-billion-deal\" target=\"_blank\" rel=\"noopener noreferrer\">what&#8217;s left for the small players<\/a>? \u201cIn our view, this deal could mark the culmination of substantially all the mega-deals in the space.\u00a0While there are still a handful of relevant domestic-international players, they may have to start thinking about future options,&#8221; wrote <strong>Credit Suisse<\/strong> analyst <strong>Joel Simkins<\/strong>.<\/p>\n<p>* Five key executives at <strong>Revel<\/strong> are getting ready to scamper off with $340,000 in court-approved bonuses for selling the resort. If the lowest target is met, execs stand to collect $250K each and so on. The price targets are being kept confidential because potential buyers\u00a0<span style=\"color: #444444;\">&#8220;may try to game the sale based on what they see,&#8221; according to Revel attorney <strong>John Cunningham<\/strong>. As for the identities of the soon-to-be-rich executives, Cunningham said they were under wraps to\u00a0\u201cprotect employees\u2019 morale, particularly those not included\u201d &#8212; which is damn near everybody.
