{"id":15265,"date":"2014-12-22T13:23:18","date_gmt":"2014-12-22T21:23:18","guid":{"rendered":"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/?p=15265"},"modified":"2022-12-22T07:23:56","modified_gmt":"2022-12-22T15:23:56","slug":"big-and-little-caesars-strike-again-atlantic-citys-monopoly-in-danger","status":"publish","type":"post","link":"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/big-and-little-caesars-strike-again-atlantic-citys-monopoly-in-danger\/","title":{"rendered":"Big and Little Caesars strike again; Atlantic City&#8217;s monopoly in danger"},"content":{"rendered":"<p>Last weekend, <strong>Caesars Entertainment<\/strong> confirmed what we already expected: <a href=\"http:\/\/dealbook.nytimes.com\/2014\/12\/19\/caesars-unit-takes-a-step-toward-chapter-11\/\" target=\"_blank\" rel=\"noopener noreferrer\">It will file bankruptcy<\/a> for <strong>Caesars Entertainment Operating Co<\/strong>. next month, in what the <em>New <a href=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/02\/gary_loveman-copy_comp.jpg\"><img loading=\"lazy\" class=\"alignleft size-medium wp-image-5808\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/02\/gary_loveman-copy_comp-233x300.jpg\" alt=\"gary_loveman-copy_comp\" width=\"233\" height=\"300\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/02\/gary_loveman-copy_comp-233x300.jpg 233w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/02\/gary_loveman-copy_comp-116x150.jpg 116w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/02\/gary_loveman-copy_comp.jpg 336w\" sizes=\"(max-width: 233px) 100vw, 233px\" \/><\/a>York Times<\/em> called &#8220;an ignominious milestone for what was one of the biggest buyouts of the private equity boom that preceded the financial crisis.&#8221; The move is intended to whittle $18.4 billion in debt into a mere $8.6 billion, according to <em>Fortune<\/em>. This will be followed by a REIT spinoff whose goals include reducing annual interest payments to $450 million. This move, said CEO <strong>Gary Loveman<\/strong>, would &#8220;significantly reduce [CEOC&#8217;s]\u00a0leverage by creating two better capitalized companies with vastly improved cash flow generation.&#8221; Caesars&#8217; $1.7 billion cash reserve will be all but drained into CEOC. All members of the first-lien steering committee are on board with the move, <a href=\"http:\/\/fortune.com\/2014\/12\/19\/caesars-entertainment-unit-to-file-for-bankruptcy-next-month\/\" target=\"_blank\" rel=\"noopener noreferrer\">which also had a positive effect<\/a> on Caesars&#8217; stock price.<\/p>\n<p>Meanwhile, in another of Caesars&#8217; sleight-of-hand moves, <!--more-->parent entity Caesars Entertainment <a href=\"http:\/\/dealbook.nytimes.com\/2014\/12\/22\/caesars-entertainment-in-deal-to-shore-up-finances\/\" target=\"_blank\" rel=\"noopener noreferrer\">will acquire controversial &#8220;Little Caesars,&#8221;<\/a> <strong>Caesars Acquisition Co<\/strong>. (controversial, at least, among debt holders who feel that Loveman squirreled away all the good assets in Little Caesars). This move, reports the <em>Times<\/em>, &#8220;will allow Caesars Entertainment to help restructure the debt of Caesars Entertainment Operating Company without taking on more debt and further diluting existing shareholders.&#8221; Taken private for over $30 billion, Caesars now has a market value that is roughly a tenth of that much.<\/p>\n<p><a href=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/10\/caesarscasino_1.png\"><img loading=\"lazy\" class=\"alignright size-full wp-image-14803\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/10\/caesarscasino_1.png\" alt=\"caesarscasino_1\" width=\"240\" height=\"240\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/10\/caesarscasino_1.png 240w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/10\/caesarscasino_1-150x150.png 150w\" sizes=\"(max-width: 240px) 100vw, 240px\" \/><\/a>&#8220;This kind of makes the whole thing work,&#8221; <strong>Fitch Ratings<\/strong> analyst <strong>Alex Bumazhny<\/strong> said of the deal&#8217;s effect upon the company&#8217;s restructuring. He told <strong>Reuters<\/strong> that <a href=\"http:\/\/www.reuters.com\/article\/2014\/12\/22\/caesars-acq-ma-caesarsentertainment-idUSL3N0U635O20141222\" target=\"_blank\" rel=\"noopener noreferrer\">cash from Caesars Acquisition would palliate creditors<\/a> riled by the now-infamous asset transfers: &#8220;Bumazhny said Monday&#8217;s deal shows Caesar&#8217;s Entertainment Corp and its private equity backers are trying to avoid a messy bankruptcy marked by litigation. &#8216;The sponsors are coming to a halfway point with creditors.'&#8221;<\/p>\n<p>&#8220;For creditors, the move is good news\u00a0&#8230;\u00a0It will also create a simpler corporate structure that should be easier to understand and value,&#8221; resumes the <em>Times<\/em>. Stock in Caesars Entertainment <a href=\"http:\/\/www.wsj.com\/articles\/caesars-entertainment-to-acquire-caesars-acquisition-in-stock-deal-1419225673\" target=\"_blank\" rel=\"noopener noreferrer\">would be swapped for shares of Little Caesars<\/a>, to facilitate the deal. One share of Caesars Acquisition stock &#8212; worth $8.96 &#8212;\u00a0gets you two-thirds of a share of Caesars Entertainment stock. Caesars Acquisition shareholders thus end up owning 38% of the parent company.\u00a0<a href=\"http:\/\/www.wsj.com\/articles\/caesars-entertainment-agrees-to-buy-affiliate-in-stock-deal-1419252127\" target=\"_blank\" rel=\"noopener noreferrer\">Loveman would stay firmly in place<\/a>, drawing $1.9 million a year for his helmsmanship, plus eligibility for a $3.25 million bonus.<\/p>\n<p>* So far, the jockeying for non-<strong>Atlantic City<\/strong> casinos has been the province of <strong>Jersey City<\/strong> and the <strong>Meadowlands<\/strong>. <a href=\"http:\/\/www.northjersey.com\/news\/officials-making-their-pitches-for-a-new-jersey-casino-1.1173241\" target=\"_blank\" rel=\"noopener noreferrer\" class=\"broken_link\">But other Garden State municipalities are getting into contention<\/a>, including <strong>Sussex<\/strong> and <strong>Newark<\/strong>.\u00a0Lawmakers are mulling a two-pronged ballot question for November. One prong would be whether or not to end Atlantic City&#8217;s monopoly on legal gambling, the other would be setting up a subsidy that non-A.C. casinos would pay to the Boardwalk, to make up for business lost. &#8220;But negotiations and maneuvering are taking place as well on other issues, such as the number of casino licenses that could be issued, the exact geographic boundaries, and how locations will ultimately be chosen and by what criteria,&#8221; reports <em>The Record<\/em>.<\/p>\n<p>One solon, state Sen. <strong>Paul Sarlo<\/strong> (D), a Meadowlands backer, thinks the Lege would only approve two new casinos, once the votes are counted. In addition to some geographical <a href=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/08\/senlesniak.jpg\"><img loading=\"lazy\" class=\"alignleft size-full wp-image-4295\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/08\/senlesniak.jpg\" alt=\"senlesniak\" width=\"250\" height=\"300\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/08\/senlesniak.jpg 250w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/08\/senlesniak-125x150.jpg 125w\" sizes=\"(max-width: 250px) 100vw, 250px\" \/><\/a>limitations,\u00a0\u201cWe\u2019d be looking for the most tax revenues, someone who can build immediately, and have their financing in place. And this is open bidding,&#8221; he told the paper. His colleague, Sen. <strong>Raymond Lesniak<\/strong> (D, <em>left<\/em>) has three criteria:\u00a0\u201cMost jobs created, most revenue generated, most investment made.\u201d Horseracing mogul\u00a0<strong>Jeff Gural<\/strong>, who runs <strong>Meadowlands Racetrack<\/strong>, is so hot and eager for a casino license that he&#8217;s offered to pay a 50% tax rate.
