The beleaguered company sold its 20% in <strong>Horseshoe Cleveland<\/strong>, <strong>Horseshoe Cincinnati<\/strong> and <a href=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2009\/11\/danielgilbert.jpg\"><img loading=\"lazy\" class=\"alignright size-medium wp-image-1184\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2009\/11\/danielgilbert-261x300.jpg\" alt=\"danielgilbert\" width=\"261\" height=\"300\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2009\/11\/danielgilbert-261x300.jpg 261w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2009\/11\/danielgilbert.jpg 446w\" sizes=\"(max-width: 261px) 100vw, 261px\" \/><\/a><strong>ThistleDown Racino<\/strong> to majority shareholder <strong>Rock Ohio Ventures<\/strong>, giving <strong>Dan Gilbert<\/strong> full control of all three properties. The precipitous move was obviously not the outcome of acrimony between the two parties: <a href=\"http:\/\/www.cleveland.com\/casino\/index.ssf\/2015\/02\/rock_ohio_ventures_buys_out_ca.html\" target=\"_blank\" class=\"broken_link\">Caesars will continue to run the casinos<\/a> at Gilbert&#8217;s behest and you can still win <strong>Total Rewards<\/strong> points at them. Perhaps Caesars had soured on the Ohio market, where it was becoming an also-ran among the state&#8217;s quickly expanding casino-and-racino market. Or perhaps it needed the cash, pronto. Given that Caesars is in the midst of an expensive bankruptcy, I vote for Theory B.<\/p>\n<p>If this Gilbert partnership has been dissolved, is a selloff of <!--more--><strong>Horseshoe Baltimore<\/strong> in the cards? True, it&#8217;s excluded from the properties affected by the bankruptcy, but so was the trio of Ohio gambling houses. Ironically, Caesars sacrificed its presence in the <strong>St. Louis<\/strong> market to buy into Ohio and now it has neither, just a retainer from Gilbert. <a href=\"http:\/\/www.cincinnati.com\/story\/money\/2015\/02\/26\/caesars-sells-horseshoe-casinos-stake\/24083397\/\" target=\"_blank\" class=\"broken_link\">Caesars also gave up interests<\/a> in <strong>Cleveland<\/strong>&#8216;s <strong>Higbee Building<\/strong> and <strong>Kentucky<\/strong>&#8216;s <strong>Turfway Park<\/strong>. The price of the transaction remains undisclosed but legal fees will probably devour it, pronto.<\/p>\n<p>Speaking of bankruptcy, <a href=\"http:\/\/ggbnews.com\/issue\/vol-13-no-9-march-3-2015\/article\/caesars-sells-ohio-interests-seeks-to-disband-creditor-panel\" target=\"_blank\" class=\"broken_link\">Caesars is seeking to draw a veil of secrecy over it<\/a>. The company has <a href=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/12\/Caesars-Palace.jpg\"><img loading=\"lazy\" class=\"alignleft size-medium wp-image-15139\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/12\/Caesars-Palace-225x300.jpg\" alt=\"Caesars Palace\" width=\"225\" height=\"300\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/12\/Caesars-Palace-225x300.jpg 225w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/12\/Caesars-Palace-112x150.jpg 112w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/12\/Caesars-Palace.jpg 670w\" sizes=\"(max-width: 225px) 100vw, 225px\" \/><\/a>asked a judge to dissolve a court-appointed committee tasked with looking after the interests of second-tier bondholders. Caesars has to pick up the tab for the committee, which must chafe its ass mightily.\u00a0\u201cThere is simply no justification for such an expense to the estate. In fact, a second-lien committee will create needless additional litigation as multiple parties spend estate resources fighting,\u201d Caesars harrumphed in a court filing. It wants the creditor committee merged with one comprised of debtors who are not opposed to Caesars&#8217; REIT conversion.<\/p>\n<p>It seems the first committee was getting just a little too nosy for Caesars&#8217; comfort, requisitioning documents about corporate maneuvers leading up to the bankruptcy filing. Said the much-abused, second-tier bondholders,\u00a0\u201cThere are numerous pre-petition transactions that must be evaluated to determine whether they give rise to claims and causes of action that could be sources of recovery for creditors.\u201d<\/p>\n<p>* <strong>IGT<\/strong> is dead, long live IGT. Although the company&#8217;s devouring by <strong>Gtech Holdings<\/strong>\u00a0<a href=\"http:\/\/www.centredaily.com\/2015\/02\/26\/4623115_regulators-ok-merger-between-lottery.html?rh=1\" target=\"_blank\" class=\"broken_link\">was unanimously approved<\/a> by the <strong>Nevada Gaming Commission<\/strong>, it will continue to do business in the U.S. under the powerful IGT brand. As part of <a href=\"http:\/\/www.reviewjournal.com\/business\/casinos-gaming\/nevada-regulators-approve-gtech-buyout-igt\" target=\"_blank\">the $6.4 billion buyout<\/a>, primary headquarters will be in <strong>Great Britain<\/strong>, <a href=\"http:\/\/www.rgj.com\/story\/money\/gaming\/2015\/02\/26\/igt-name-live-merger\/24084683\/\" target=\"_blank\" class=\"broken_link\">with satellite outposts<\/a> in <strong>Las Vegas<\/strong>, <strong>Reno<\/strong>, <strong>Providence<\/strong> and <strong>Rome<\/strong>. Five regulatory approvals are still required before this is a truly done deal. IGT has been really kicked about by the competition lately but it showed some fight last week, vowing to spend $332 million on R&amp;D. Power will be divided between veterans of the two companies, with Gtech&#8217;s <strong>Renato Ascoli<\/strong> the new CEO, while IGT&#8217;s <strong>Phil Satre<\/strong> and <strong>Patti Hart<\/strong> will serve as chairman and vice-chairwoman, respectively.<\/p>\n<p>* <strong>Sheldon Adelson<\/strong>&#8216;s eagerness to nuke <strong>Iran<\/strong> ended up costing his company a lot of time and money. And yes, it was Iran that pulled the trigger on the cyber-attack that wrought havoc <a href=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2015\/02\/sheldon-adelson-25.jpg\"><img loading=\"lazy\" class=\"alignright size-medium wp-image-15526\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2015\/02\/sheldon-adelson-25-300x225.jpg\" alt=\"sheldon-adelson-25\" width=\"300\" height=\"225\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2015\/02\/sheldon-adelson-25-300x225.jpg 300w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2015\/02\/sheldon-adelson-25-150x112.jpg 150w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2015\/02\/sheldon-adelson-25-1024x768.jpg 1024w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2015\/02\/sheldon-adelson-25.jpg 1200w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/><\/a>with <strong>Las Vegas Sands<\/strong>&#8216; databases. Top spook <strong>James Clapper<\/strong> <a href=\"http:\/\/www.bloomberg.com\/news\/articles\/2015-02-26\/iran-behind-cyber-attack-on-adelson-s-sands-corp-clapper-says\" target=\"_blank\" class=\"broken_link\">fingered Iran as the malefactor<\/a> in the Sands attack during testimony before the\u00a0<strong>Senate Armed Services Committee<\/strong>.\u00a0\u201cWhile both of these nations have lesser technical capabilities in comparison to <strong>Russia<\/strong> and <strong>China<\/strong>, these destructive attacks demonstrate that Iran and <strong>North Korea<\/strong> are motivated and unpredictable cyber-actors,\u201d Clapper said, alluding to the North Korean attack on <strong>Sony<\/strong> last December.<\/p>\n<p>\u201cWe foresee an ongoing series of low-to-moderate level cyber-attacks from a variety of sources over time, which will impose cumulative costs on U.S. economic competitiveness and national security,\u201d Clapper continued. We&#8217;d never dream of muzzling Sheldon Adelson (just think of the entertainment value we&#8217;d forfeit!), but he&#8217;d better be prepared for cyber-consequences the next time he suggests dropping nuclear weapons hither and yon.<\/p>\n<p>* <strong>Harel Zahavi<\/strong> ran through <a href=\"http:\/\/www.reviewjournal.com\/business\/casinos-gaming\/nevada-supreme-court-upholds-markers-law\" target=\"_blank\">$834,000 in invalid markers<\/a> in 2008, taking <strong>Venelazzo<\/strong>, <strong>Caesars Palace<\/strong> and the <strong>Hard Rock Hotel<\/strong> to the cleaners.
