There are some who are calling this a bluff and others who can&#8217;t afford to get in on the once-in-a-lifetime offer. Everybody else, get out your charge card and prepare to drain your revolving line of credit to the dregs. <a href=\"http:\/\/uk.reuters.com\/article\/2015\/10\/26\/caesars-ma-idUKL8N12G3FG20151026\" target=\"_blank\" rel=\"noopener noreferrer\">Offers like this<\/a> don&#8217;t come along every day, let alone any year.<\/p>\n<p>According to Caesars spokesman <strong>Gary Thompson<\/strong>, the contents of CEOC are &#8220;<strong>Caesars Palace<\/strong> [minus the <strong>Octavius Tower<\/strong> &#8212; that could be awkward], <!--more--><strong>Caesars Atlantic City<\/strong>, <strong>Harrah\u2019s Reno<\/strong>, <a href=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2015\/05\/Horseshoe-Bossier.jpg\"><img loading=\"lazy\" class=\"alignleft size-full wp-image-16112\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2015\/05\/Horseshoe-Bossier.jpg\" alt=\"Horseshoe Bossier\" width=\"192\" height=\"262\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2015\/05\/Horseshoe-Bossier.jpg 192w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2015\/05\/Horseshoe-Bossier-110x150.jpg 110w\" sizes=\"(max-width: 192px) 100vw, 192px\" \/><\/a><strong>Harrah\u2019s Tahoe<\/strong>, <strong>Harrah\u2019s Joliet<\/strong>, <strong>Harrah\u2019s Gulf Coast<\/strong>, <strong>Harrah\u2019s Council Bluffs<\/strong>, <strong>Harrah\u2019s North Kansas City<\/strong>, <strong>Horseshoe Southern Indiana<\/strong>, <strong>Horseshoe Council Bluffs<\/strong>, <strong>Horseshoe Hammond<\/strong>, <strong>Horseshoe Bossier City<\/strong>, <strong>Horseshoe Tunica<\/strong>, <strong>Louisiana Downs<\/strong>, <strong>Bally\u2019s Atlantic City<\/strong>, <strong>Harvey\u2019s Lake Tahoe<\/strong> and our international properties [including <strong>London Clubs<\/strong>]. It also manages three tribal-owned casinos \u2013 <strong>Harrah\u2019s Ak-Chin<\/strong>, <strong>Harrah\u2019s Southern California<\/strong> and <strong>Harrah\u2019s Cherokee<\/strong> \u2013 and <strong>Caesars <span class=\"il\">Windsor<\/span><\/strong> (owned by the <strong>Ontario Lottery<\/strong>),&#8221; plus holds the management contracts for <strong>Horseshoe Cleveland<\/strong> and <strong>Horseshoe Cincinnati<\/strong>. That&#8217;s one heckuva lotta casinos.<\/p>\n<p>A\u00a0big disincentive to any bidder is that you&#8217;re taking on the Caesars empire without <strong>Total Rewards<\/strong>, which is sheltered under the (solvent) parent company. So you&#8217;d be building your loyalty <a href=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2009\/10\/Gary_loveman_Cropped_fmt.jpeg\"><img loading=\"lazy\" class=\"alignright size-full wp-image-1052\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2009\/10\/Gary_loveman_Cropped_fmt.jpeg\" alt=\"Gary_loveman_Cropped_fmt\" width=\"204\" height=\"203\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2009\/10\/Gary_loveman_Cropped_fmt.jpeg 204w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2009\/10\/Gary_loveman_Cropped_fmt-150x150.jpg 150w\" sizes=\"(max-width: 204px) 100vw, 204px\" \/><\/a>database from scratch. As <strong>Reuters<\/strong> explains it, &#8220;Under a complex operating structure, CEOC owns Total Rewards. But a separate, non-bankrupt unit called <strong>Caesars Enterprise Services<\/strong> controls the licensing agreement that channels business between casinos putting that piece of the program out of reach of bidders for the casino operating unit.&#8221; Bidders will also have to pick their way through an <strong>Enron<\/strong>-like thicket of 170 different Caesars-owned entities that <strong>Texas Pacific Group<\/strong> and <strong>Apollo Management<\/strong> set up.<\/p>\n<p>So the whole thing may be a bluff. Or, as Caesars puts it\u00a0&#8220;there is no guarantee that the transaction will close.&#8221; As <strong>Fitch Ratings<\/strong> analyst <strong>Alex Bumazhny<\/strong> says,\u00a0&#8220;It&#8217;s difficult to imagine a third party <a href=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/10\/caesarscasino_1.png\"><img loading=\"lazy\" class=\"alignright size-full wp-image-14803\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/10\/caesarscasino_1.png\" alt=\"caesarscasino_1\" width=\"240\" height=\"240\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/10\/caesarscasino_1.png 240w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/10\/caesarscasino_1-150x150.png 150w\" sizes=\"(max-width: 240px) 100vw, 240px\" \/><\/a>coming along and bidding for the assets without Total Rewards.&#8221; Another disincentive is that the <strong>Las Vegas Strip<\/strong> assets &#8212; the Total Rewards carrot &#8212; aren&#8217;t on the sale block. Of the potential bidders, <strong>MGM Resorts International<\/strong> is already heavily leveraged, <strong>Wynn Resorts<\/strong> is too upmarket and averse to debt, and <strong>Boyd Gaming<\/strong> just plain might not be able to afford such a large deal. That leaves <strong>Gaming &amp; Leisure Properties<\/strong> &#8212; which could walk into a thicket of anti-trust issues &#8212; and former Caesars suitor\u00a0<strong>Penn National Gaming<\/strong>, of whom similar things might be said.<\/p>\n<p>Also, the timing is about seven years too late. The moment to divest would have been right after the LBO, when casino values were at their peak. Between the bursting of the casino bubble and deferred maintenance throughout the Caesars corporation, those dozens of properties probably don&#8217;t look as attractive as they did in 2007-08. Junior and unsecured creditors are already hopping mad about the sale, with the latter stating that &#8220;without prime assets, the proposed sale will fail to draw the best price possible for the bankrupt unit&#8217;s estate.&#8221; Besides, if you sever the Caesars tree from its regional roots, how will the Strip assets fare?<\/p>\n<p>* If the <strong>Macao<\/strong> government had hoped to muzzle casino owners with its recent dressing-down, it has failed. <strong>Sociedade de Jogos <a href=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2015\/08\/Leong.jpg\"><img loading=\"lazy\" class=\"alignright size-full wp-image-16575\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2015\/08\/Leong.jpg\" alt=\"Leong\" width=\"216\" height=\"216\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2015\/08\/Leong.jpg 216w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2015\/08\/Leong-150x150.jpg 150w\" sizes=\"(max-width: 216px) 100vw, 216px\" \/><\/a>de Macau<\/strong> Executive Director <strong>Angela Leong<\/strong> has <a href=\"http:\/\/www.bloomberg.com\/news\/articles\/2015-10-26\/macau-government-needs-to-do-more-and-act-faster-sjm-s-leong\" target=\"_blank\" rel=\"noopener noreferrer\" class=\"broken_link\">added her voice to the growing chorus of discontent<\/a> (<strong>Sheldon Adelson<\/strong> being a notable non-participant) over economic policy in <strong>China<\/strong>. Calling for &#8220;concrete actions&#8221; to prop up the Macanese economy, Leong said sharply, \u201cMacao is such a small place and the government wants to diversify the economy. But they only talk&#8221; rather than providing actual support.<\/p>\n<p>At present, Macao can only cling to vague promises of late-year action, made by <strong>Li Gang<\/strong>, the local emissary from <strong>Peking<\/strong>. With 20 casinos and 5,800 gaming tables, SJM is particularly exposed to the <a href=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/10\/Macau-Panoramic.jpg\"><img loading=\"lazy\" class=\"alignleft size-medium wp-image-14785\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/10\/Macau-Panoramic-300x188.jpg\" alt=\"Macau-Panoramic\" width=\"300\" height=\"188\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/10\/Macau-Panoramic-300x188.jpg 300w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/10\/Macau-Panoramic-150x94.jpg 150w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/10\/Macau-Panoramic.jpg 624w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/><\/a>recession in gambling activity. Leong points the finger of blame right back at the government and its tardy delivery of the infrastructure that would facilitate mass-market gamblers.\u00a0&#8220;Do you know how long we have been talking about the bridge&#8221; to <strong>Hong Kong<\/strong>, she asks. &#8220;Ten, 20 years. That\u2019s a long time.\u201d Macao&#8217;s glacial timeline for approving new projects also chafes Leong, who complains to <em>Bloomberg Business<\/em> about the six-year wait she&#8217;s endured for permission to build an amusement park on the <strong>Cotai Strip<\/strong>. (So much for government-mandated diversification.)<\/p>\n<p>As he prepared to open <strong>Studio City Macau<\/strong>, co-chairman <strong>Lawrence Ho<\/strong> put the best face he could on his forced reliance on mass-market play, saying,\u00a0&#8220;This is the future of <strong>China<\/strong>.\u00a0The rise <a href=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/01\/Lawrence-Ho.jpg\"><img loading=\"lazy\" class=\"alignright size-medium wp-image-5670\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/01\/Lawrence-Ho-206x300.jpg\" alt=\"Lawrence Ho\" width=\"206\" height=\"300\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/01\/Lawrence-Ho-206x300.jpg 206w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/01\/Lawrence-Ho-103x150.jpg 103w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/01\/Lawrence-Ho.jpg 350w\" sizes=\"(max-width: 206px) 100vw, 206px\" \/><\/a>of\u00a0the middle-income earning bracket and the rise of the more sophisticated well-travelled customer.&#8221; He&#8217;s given up on the VIP segment for Studio City, dedicating all 200 0f its tables to mass-market play.<\/p>\n<p>Tighter governmental scrutiny may not be the only thing chasing VIPs away from Macao. <strong>Pacific Financial Services<\/strong> founder <strong>Tony Tong<\/strong> theorizes that a Macao fatigue has set in and other Pacific Rim casinos, from <strong>Vladivostok<\/strong> to the <strong>Philippines<\/strong> are drawing off high rollers. They&#8217;re certainly subject to less government-imposed pressure there than back at home.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Well, it had to happen eventually.
