Among other <img loading=\"lazy\" class=\"alignright size-full wp-image-14663\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/10\/Penn-logo.jpg\" alt=\"\" width=\"274\" height=\"184\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/10\/Penn-logo.jpg 274w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/10\/Penn-logo-150x100.jpg 150w\" sizes=\"(max-width: 274px) 100vw, 274px\" \/>benefits, the deal strengthens Penn&#8217;s position in its home state, as it gets <strong>The Meadows<\/strong> racino, <a href=\"http:\/\/www.mcall.com\/business\/mc-nws-penn-national-pinnacle-20171218-story.html\" target=\"_blank\" rel=\"noopener noreferrer\">doubling its Keystone State asset base<\/a>. Penn expects to realize $100 million in synergies (read: job cuts) from the transaction. In other words, goodbye <strong>Anthony Sanfilippo<\/strong> and thanks for playing. Also, how do you like them apples, <strong>Caesars Entertainment<\/strong>? Penn now eclipses you in size of domestic operations.\u00a0&#8220;We grew from a single race track back in 1972 to what is today the largest regional gaming operation in <strong>North America<\/strong>,&#8221; <a href=\"http:\/\/www.wfmz.com\/news\/berks\/acquisition-makes-penn-national-gaming-biggest-gaming-operator-in-usa\/674747503\" target=\"_blank\" rel=\"noopener noreferrer\">crowed an understandably jubilant<\/a> <strong>Eric Schippers<\/strong>, adding,\u00a0&#8220;We&#8217;re getting into new states like <strong>Colorado<\/strong>, <strong>Louisiana<\/strong> and <strong>Iowa<\/strong>, which opens up all kinds of new opportunities as we diversify our portfolio.&#8221;<\/p>\n<p>Pinnacle shareholders cash out handsomely, with $20\/share and 0.42 shares of Penn stock for each Pinnacle share owned. Penn <!--more--><a href=\"http:\/\/www.stltoday.com\/business\/local\/penn-national-to-buy-pinnacle-entertainment-in-billion-deal-boyd\/article_493e8fdd-3fca-5411-9da1-bf2fbd3ba996.html\" target=\"_blank\" rel=\"noopener noreferrer\">paid a hefty premium<\/a> for Pinnacle ($32.47\/share or a lofty 9X cash flow) to get Pinnacle, which tells you how crafty a negotiator Sanfilippo was. Despite its magnitude, the <img loading=\"lazy\" class=\"alignleft size-medium wp-image-15716\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2015\/03\/Ameristar-St.-Charles-300x194.jpg\" alt=\"\" width=\"300\" height=\"194\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2015\/03\/Ameristar-St.-Charles-300x194.jpg 300w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2015\/03\/Ameristar-St.-Charles-150x97.jpg 150w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2015\/03\/Ameristar-St.-Charles.jpg 620w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/>Penn\/Pinnacle sale was almost overshadowed by yesterday morning&#8217;s announcement that Penn had turned right around and divested four casinos to speedy <strong>Boyd Gaming<\/strong>. The latter gains <strong>St. Louis<\/strong>&#8216; top-performing casino, <strong>Ameristar St. Charles<\/strong>, as well as <strong>Ameristar Kansas City<\/strong>, <strong>Belterra<\/strong> (which has been sapped by <strong>Ohio<\/strong> competition) and <strong>Belterra Park<\/strong>. The last is something of a charity case but Penn had no choice but sell it, since it&#8217;s already at the statutory maximum for casinos in the Buckeye State. As for Boyd, its decision to go back into <strong>Kansas City<\/strong> is interesting, as one of the company&#8217;s few failures was <strong>Sam&#8217;s Town Kansas City<\/strong>, which went out of business in 1998.<\/p>\n<p>It will be interesting to see, as we look ahead, whether Boyd keeps the <strong>Ameristar<\/strong> brand, which Pinnacle retained because of its strong equity. Belterra is also a well-established <img loading=\"lazy\" class=\"alignright size-medium wp-image-8749\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2012\/03\/belterra-300x194.jpg\" alt=\"\" width=\"300\" height=\"194\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2012\/03\/belterra-300x194.jpg 300w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2012\/03\/belterra-150x97.jpg 150w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2012\/03\/belterra.jpg 800w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/>name, so there may be no point in rebranding those assets. Boyd paid $575 million (6.25X cash flow &#8212; a bargain)\u00a0in a transaction that <strong>Deutsche Bank<\/strong> analyst <strong>Carlo Santarelli<\/strong> termed &#8220;prudent, The company will also have to undertake $105 million in lease payments to <strong>Gaming &amp; Leisure Properties Inc.<\/strong>, Penn evidently having craftily transferred the leases to GLPI before flipping the casino\/racino quartet. At least Boyd only has to pay $7 million a year to rent economically challenged Belterra Park.<\/p>\n<p>Considering that Penn sacrificed the two Ameristar trophy properties (but retains a 50% St. Louis market share) to palliate antitrust concerns, we&#8217;re inclined to think that Boyd <img loading=\"lazy\" class=\"alignleft size-full wp-image-11289\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2013\/08\/Plainridge5.jpg\" alt=\"\" width=\"289\" height=\"114\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2013\/08\/Plainridge5.jpg 289w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2013\/08\/Plainridge5-150x59.jpg 150w\" sizes=\"(max-width: 289px) 100vw, 289px\" \/>got the better end of the deal. &#8220;These assets are in great shape, increase BYD\u2019s geographic diversity, and add the benefit of scale,&#8221; wrote <strong>JP Morgan<\/strong> analyst <strong>Joseph Greff<\/strong>. As though there were not enough moving parts to this transaction, Penn sold <strong>Plainridge Park<\/strong> to GLPI, which paid an astonishing 10X cash flow for the racino, although its otherworldly slot revenues (averaging $345\/win\/slot\/day) are a strong argument for the valuation. (None of these deals are expected to close before July 2018.)<\/p>\n<p>In addition to Penn, Boyd and GLPI, Santarelli likes <strong>Station Casinos<\/strong> and <strong>Eldorado Resorts<\/strong> shares going forward. He cites &#8220;political agendas centered on job creation and wage growth,&#8221; though we haven&#8217;t seen any, particularly of the latter. However, <strong>Nevada<\/strong> wages <img loading=\"lazy\" class=\"alignright size-full wp-image-6232\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/04\/boyd-gaming-200.jpg\" alt=\"\" width=\"80\" height=\"80\" \/>just <a href=\"http:\/\/nevadaworkforce.com\/Portals\/139\/Average%20Weekly%20Wages\/Current%20Release.pdf\" target=\"_blank\" rel=\"noopener noreferrer\" class=\"broken_link\">hit their second-highest quarterly average<\/a> on record. But\u00a0the <strong>Kenny Guinn Center for Policy Priorities<\/strong> <a href=\"https:\/\/guinncenter.org\/wp-content\/uploads\/2014\/01\/Guinn_Federal-Tax-Plans_2017.pdf\" target=\"_blank\" rel=\"noopener noreferrer\" class=\"broken_link\">warns of that the tax legislation<\/a> before <strong>Congress<\/strong> that &#8220;A repeal of the state and local general sales deduction could be harmful to Nevada&#8217;s residents and have consequences for the State&#8217;s ability to finance its programs and services.&#8221; (A repeal of the\u00a0home mortgage interest deduction <a href=\"https:\/\/guinncenter.org\/wp-content\/uploads\/2014\/01\/Effects-of-TCJA-on-Nevada-Conference-Report-Update.pdf\" target=\"_blank\" rel=\"noopener noreferrer\" class=\"broken_link\">will also hurt<\/a> but increased child tax credist will give some of that back &#8230; if you have kids. Be fruitful and multiply, taxpayers.)<\/p>\n<p>Adds Santarelli, &#8220;the potential for rising interest rates, a favorable discretionary income driver for the fixed income retiree patron, bode well for the regional gaming group as we head into 2018.&#8221; Although wages in the <strong>Las Vegas<\/strong> market are improving, he urges operators to keep sweating the comps. Since the casino industry is full of &#8216;me-too&#8217; transactions, it will be interesting to see which company next feels compelled to swing a M&amp;A deal of its own.<\/p>\n<p>* Although <strong>Brazil<\/strong> is currently spinning its wheels on casino legalization, Brazilians will have a direct pipeline to Vegas casinos starting next June. That&#8217;s when <strong>LATAM Airlines Brazil<\/strong> incepts nonstop service from <strong>Sao Paulo<\/strong> to Sin City. Considering that Sao Paulo was once the poster child for poverty and crime in <strong>South Americ<\/strong>a, this is quite a turnaround in public image. The airline proudly proclaims that &#8220;LATAM Airlines Group is the only airlines group in <strong>Latin America<\/strong> and one of three worldwide to be part of the <strong>Dow Jones Sustainability \u2018World\u2019 Index<\/strong>.&#8221; Good on them.<\/p>\n<p><img loading=\"lazy\" class=\"alignleft  wp-image-6956\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/06\/clouds-jesus-271x300.jpg\" alt=\"\" width=\"126\" height=\"140\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/06\/clouds-jesus-271x300.jpg 271w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/06\/clouds-jesus-135x150.jpg 135w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/06\/clouds-jesus.jpg 352w\" sizes=\"(max-width: 126px) 100vw, 126px\" \/>* While I can&#8217;t think of anything lonelier than spending Christmas in Las Vegas, <strong>WalletHub<\/strong> ranks it as the ninth-best city in which to celebrate the birth of <strong>Jesus Christ<\/strong>. Why? It&#8217;s number two in hobby shops and toy stores per capita, as well as second in hotel room rates. It&#8217;s also a surprising 19th in Christmas-tree farms per capita.
