His model is predicated on a $10.50\/share purchase of CZR stock, currently trading <img loading=\"lazy\" class=\"alignleft size-medium wp-image-12972\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/03\/caesars-palace-300x255.jpg\" alt=\"\" width=\"300\" height=\"255\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/03\/caesars-palace-300x255.jpg 300w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/03\/caesars-palace-150x127.jpg 150w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/03\/caesars-palace.jpg 630w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/>at $8.56. That&#8217;s a pretty good deal for a junk stock that has always traded below its IPO price because <strong>Gary Loveman<\/strong> had put Caesars into a world of hurt before deciding to go public. Under Politzer&#8217;s scenario, each CZR share would be traded for 0.09 of an ERI one. Let&#8217;s face it: Caesars shareholders would be getting a much better stock in this deal and should consider themselves lucky to have it. Eldorado would assume $10.9 billion in Caesars debt and could achieve up to $300 million in synergies, whether from merged marketing, labor cutbacks or &#8220;culled corporate expenses&#8221; (read: deadwood).<\/p>\n<p>Two billion-plus in asset sales also figure in Politzer&#8217;s calculus. &#8220;We think the company gets the most bang for its buck selling <!--more-->a wholly-owned Strip asset as opposed to regional assets reliant on <strong>Caesars Rewards<\/strong>,&#8221; he writes. However, he is somewhat contradicted by the massive exposure a combined Caesars\/Eldorado would run up in non-<img loading=\"lazy\" class=\"alignright size-medium wp-image-21362\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2018\/03\/Caesars-Atlantic-City-146x300.jpg\" alt=\"\" width=\"146\" height=\"300\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2018\/03\/Caesars-Atlantic-City-146x300.jpg 146w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2018\/03\/Caesars-Atlantic-City-73x150.jpg 73w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2018\/03\/Caesars-Atlantic-City-768x1576.jpg 768w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2018\/03\/Caesars-Atlantic-City-499x1024.jpg 499w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2018\/03\/Caesars-Atlantic-City.jpg 1200w\" sizes=\"(max-width: 146px) 100vw, 146px\" \/>Vegas markets: 41% in <strong>Atlantic City<\/strong> (four casinos), 33% of <strong>Missouri<\/strong> and 6 of 13 casinos, 27% market share in <strong>Iowa<\/strong> and four of 16 private-sector casinos, 30% in <strong>Illinois<\/strong> (three of 10 casinos), plus &#8220;modest&#8221; overlap in <strong>Reno<\/strong>, <strong>Lake Tahoe<\/strong> and <strong>Laughlin<\/strong>. Depending on the inclination of the <strong>Federal Trade Commission<\/strong> as well as Eldorado&#8217;s appetite for risk, there might be a number of one-off acquisitions to be had by smaller companies (are you reading this, <strong>Churchill Downs<\/strong>?). Politzer estimates a Caesars\/Eldorado hookup could generate almost $1.25 billion in cash flow, which would seem to say that the deal pays for itself. Let&#8217;s hope it does.<\/p>\n<p>* &#8220;for the entirely reasonable price of $450K for 4 nights,&#8221; <strong>Venetian<\/strong> will hook you up with the <strong>Presidential Suite<\/strong> experience. What does your $450,000 (more money than I&#8217;ll ever see in my life) buy you? A cake, a salsa dancing lesson, butler service and transportation to from <strong>Las Vegas<\/strong> on the company jet. A few of us can live large, the rest can only dream about it.<\/p>\n<p>*\u00a0An <strong>Internet<\/strong> gambling\/DFS bill is marching through the <strong>Michigan<\/strong> legislature. The <strong>House Regulatory Reform Committee<\/strong> <a href=\"https:\/\/www.onlinepokerreport.com\/36035\/michigan-online-gambling-bill-committee\/\" target=\"_blank\" rel=\"noopener noreferrer\" class=\"broken_link\">passed it 13-1<\/a> and, unlike other states, Michigan&#8217;s tribal casinos are on board with <img loading=\"lazy\" class=\"alignright size-medium wp-image-20783\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2017\/12\/Brandt-Iden-214x300.jpg\" alt=\"\" width=\"214\" height=\"300\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2017\/12\/Brandt-Iden-214x300.jpg 214w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2017\/12\/Brandt-Iden-107x150.jpg 107w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2017\/12\/Brandt-Iden.jpg 768w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2017\/12\/Brandt-Iden-732x1024.jpg 732w\" sizes=\"(max-width: 214px) 100vw, 214px\" \/>Rep. <strong>Brandt Iden<\/strong> (R) and his bill. Tribes and outlying casinos will pay 8%, <strong>Detroit<\/strong>&#8216;s three casinos will pony up 9.25% in taxes. An amendment to sock it to casinos with a 16% rate was voted down. The bill&#8217;s next stop is Iden&#8217;s <strong>House Ways &amp; Means Committee<\/strong>, although it remains to be seen whether the seemingly inevitable law will be vetoed or not by Gov. <strong>Gretchen Whitmer<\/strong> (D), who&#8217;s more focused on legalizing sports betting.<\/p>\n<p>* Although <strong>MGM Resorts International<\/strong> is budgeting $9 billion-$10 billion for a megaresort in <strong>Osaka<\/strong>, it&#8217;s spreading the risk by casting a net for development partners. But CEO <strong>Jim Murren<\/strong> <a href=\"http:\/\/www.ggrasia.com\/osaka-to-choose-bid-partner-by-early-2020-mgms-murren\/\" target=\"_blank\" rel=\"noopener noreferrer\">isn&#8217;t in a hurry<\/a>; he says an announcement will be made by this time next year. <img loading=\"lazy\" class=\"alignleft size-medium wp-image-18630\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2016\/08\/Jim-Murren-221x300.jpg\" alt=\"\" width=\"221\" height=\"300\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2016\/08\/Jim-Murren.jpg 221w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2016\/08\/Jim-Murren-111x150.jpg 111w\" sizes=\"(max-width: 221px) 100vw, 221px\" \/>Of course we don&#8217;t know yet whether Osaka will get a megaresort, let alone whether it will fall to MGM. But don&#8217;t tell Murren:\u00a0\u201cWe made the decision to focus all our energy on Osaka \u2026 We believe Osaka is going to be the first integrated resort location.\u00a0The government\u2019s very excited about it.&#8221; Murren didn&#8217;t exactly pick Osaka out of a hat:\u00a0\u201cThey won the <strong>World Expo<\/strong> just recently. It\u2019s going to happen in 2025.\u00a0The government is very anxious to get the whole <strong>Yumeshima<\/strong> site in Osaka developed as soon as possible in connection with that World Expo.\u201d J-Mur\u00a0was in town for the <strong>MLB<\/strong> season opener, played in <strong>Tokyo<\/strong>, where the <strong>Oakland Athletics<\/strong> had to play in MGM-bedecked togs.<\/p>\n<p>*\u00a0As <em>S&amp;G<\/em> reader <strong>Mike Zidik<\/strong> has mentioned earlier, <strong>Showboat<\/strong> owner <strong>Bart Blatstein<\/strong> wants to bring gambling back to the property, by dint of using a\u00a0123,000-square-foot lot as the site of a brand-new casino. The <img loading=\"lazy\" class=\"alignright size-full wp-image-12699\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/02\/Showboat-AC.jpg\" alt=\"\" width=\"267\" height=\"189\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/02\/Showboat-AC.jpg 267w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/02\/Showboat-AC-150x106.jpg 150w\" sizes=\"(max-width: 267px) 100vw, 267px\" \/>vacant land is said to be popular with the sand-volleyball crowd but it looks like they&#8217;ll have to <a href=\"https:\/\/www.pressofatlanticcity.com\/news\/showboat-owner-wants-to-bring-another-casino-to-atlantic-city\/article_87f1d916-4c58-5f07-be1b-2a4269813a3f.html\" target=\"_blank\" rel=\"noopener noreferrer\">take their ball and go elsewhere<\/a>. By taking gambling out of the confines of the Showboat proper, Blatstein sidesteps a deed restriction imposed by Caesars when it sold the casino-hotel. Asked why he wanted to build another casino, Blatstein took a jab at the Boardwalk&#8217;s aging facilities. &#8220;The world has changed. The older-style casinos are no longer en vogue,&#8221; a point he could readily have backed up with recent earnings reports.<\/p>\n<p>Blatstein&#8217;s target audience is&#8211;take a wild guess&#8211;Millennials. He&#8217;s going to introduce e-sports, for one thing. Bus-bound daytrippers <img loading=\"lazy\" class=\"alignleft size-medium wp-image-13931\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/06\/Showboat_Atlantic_City-300x200.jpg\" alt=\"\" width=\"300\" height=\"200\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/06\/Showboat_Atlantic_City-300x200.jpg 300w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/06\/Showboat_Atlantic_City-150x100.jpg 150w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2014\/06\/Showboat_Atlantic_City.jpg 1024w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/>won&#8217;t find themselves welcomed: Blatstein is ripping out the bus terminal in favor of a &#8220;family entertainment center&#8221; (whatever that is). He brushed off concerns about market saturation by saying, &#8220;It&#8217;s not about the number of casinos. It&#8217;s about variety.&#8221; Again, the numbers would seem to back him up. Casino construction would take 14 months.
