In a deal that values the latter at $18 billion (or <img loading=\"lazy\" class=\"alignleft size-medium wp-image-7059\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/07\/Caesars-Palace-fireworks-300x200.jpg\" alt=\"\" width=\"300\" height=\"200\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/07\/Caesars-Palace-fireworks-300x200.jpg 300w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/07\/Caesars-Palace-fireworks-150x100.jpg 150w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/07\/Caesars-Palace-fireworks.jpg 450w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/>$12.75\/share), Eldorado will buy Caesars for $8.6 billion in cash, plus the <a href=\"https:\/\/www.nytimes.com\/2019\/06\/24\/business\/eldorado-caesars-deal.html\" target=\"_blank\" rel=\"noopener noreferrer\" class=\"broken_link\">assumption of debt<\/a>. Two previous offers at lower stock prices <a href=\"https:\/\/ggbnews.com\/article\/eldorado-sells-three-casinos-for-385-million\/\" target=\"_blank\" rel=\"noopener noreferrer\">had been rebuffed<\/a> by the Roman empire.\u00a0<a href=\"https:\/\/www.foxbusiness.com\/markets\/eldorado-resorts-to-buy-caesars-entertainment-in-17-3b-deal\" target=\"_blank\" rel=\"noopener noreferrer\">$8.8 billion is a lot of debt<\/a> for Eldorado to take on but the merger doesn&#8217;t have the same warning signs as the disastrous LBO of 2007.\u00a0Sensibly, the Eldorado moniker goes away in favor of the illustrious Caesars one. According to the <em>New York Times<\/em>, the combined companies will have 79 casinos across the U.S. and five international jurisdictions. Of course, that is <em>before<\/em> asset sales to lower market exposure and avoid antitrust issues.<\/p>\n<p>Matchmaker <strong>Carl Icahn<\/strong> was well pleased. \u201cIt is rare that you see a merger where because of the great synergies \u2018one plus one equals five,\u2019\u201d he <!--more-->told the <em>Times<\/em>. Caesars has started retrenching even before the Eldorado deal takes effect. The spa at <strong>Bally&#8217;s Las Vegas<\/strong> has closed (customers are directed to the one at <strong>Paris-Las Vegas<\/strong>) and rumor has it that <strong>The Rio<\/strong>&#8216;s spa will be next on the chopping block. The Caesars board supposedly voted unanimously to become vassals of Eldorado, although that may have been a matter of surrendering to the inevitable.<\/p>\n<p>* In a flashback to <strong>Donald Trump<\/strong>&#8216;s <strong>Atlantic City<\/strong> days, his <strong>Washington, D.C.<\/strong>, hotel is having its liquor licensed challenged, due to its namesake&#8217;s <a href=\"https:\/\/www.cnn.com\/2019\/06\/14\/politics\/trump-international-hotel-liquor-license-washington-dc\/index.html\" target=\"_blank\" rel=\"noopener noreferrer\">purported <img loading=\"lazy\" class=\"alignright size-medium wp-image-6592\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/05\/Trump-in-LV-300x225.jpg\" alt=\"\" width=\"300\" height=\"225\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/05\/Trump-in-LV-300x225.jpg 300w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/05\/Trump-in-LV-150x112.jpg 150w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/05\/Trump-in-LV.jpg 400w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/>lack of good character<\/a>. In what sounds like a throwback to the time when Trump was the most mobbed-up casino owner on the Boardwalk, a protest group wants action\u00a0&#8220;focusing on certain lies [Trump] has told, his involvement in relevant fraudulent and other activity demonstrating his lack of integrity, and his refusal to abide by the law or to stop associating with known criminals.&#8221; The battle is far from over but the\u00a0<strong>Washington&#8217;s Alcoholic Beverage Control Board<\/strong>&#8216;s refusal to dismiss the anti-Trump application is a salient victory.<\/p>\n<p>* The <strong>Culinary Union<\/strong> is pulling out all of the stops in its effort to unionize the <strong>Palms<\/strong>. It has promised to produce 1,000 protestors tomorrow\u2014that&#8217;s some mighty big talk. Flexing her rhetorical muscles, Culinary Secretary-Treasurer <strong>Geconda Arguello-Kline<\/strong> said that &#8220;after workers voted to unionize by 84% at <img loading=\"lazy\" class=\"alignleft size-medium wp-image-24385\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2019\/06\/Culinary-300x173.png\" alt=\"\" width=\"300\" height=\"173\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2019\/06\/Culinary-300x173.png 300w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2019\/06\/Culinary-150x87.png 150w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2019\/06\/Culinary.png 640w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/>Palms, the company tried to overturn the elections and are now illegally refusing to negotiate.&#8221; This month&#8217;s vote at <strong>Fiesta Rancho<\/strong> brings to six the number of <strong>Station Casinos<\/strong> properties where the Culinary is being thwarted. The union also vowed to take the fight nationwide to business partners of Station owner <strong>Frank Fertitta III<\/strong>. Unspecified celebrity chefs are targeted, as is a firm that makes yachts, as well as Trumpian\u00a0<strong>America First Action<\/strong>. However, the Culinary is not tilting solely at right-wing windmills: Others targeted for picketing include former <strong>Nancy Pelosi<\/strong> staffer <strong>Nadeam Elshami<\/strong>, as well as Fertitta family art advisor (yes, they have one) <strong>Michele Quinn<\/strong>. Other picketing targets are too many to name, and the Culinary may be fighting dirty but it obviously believes desperation measures are what it will take to get Fertitta&#8217;s attention.<\/p>\n<p>* Having gone off half-cocked in its reinterpretation of the <strong>Federal Wire Act<\/strong>, the <strong>Department of Justice<\/strong> will now <a href=\"https:\/\/ggbnews.com\/article\/u-s-doj-memos-puts-off-wire-act-enforcement-until-2020\/\" target=\"_blank\" rel=\"noopener noreferrer\">wait until next year<\/a> to attempt to enforce it. The DoJ is still picking itself off the floor after a federal judge KO&#8217;d its attempts to crack down on <strong>New Hampshire<\/strong>&#8216;s online lottery. Justice might still pursue a reversal of that ruling but, for the moment, the law of the land is the the Wire Act only applies to sports bets that cross state lines.<\/p>\n<p>* <strong>Ronald Perelman<\/strong> of <strong>Scientific Games<\/strong> clearly likes what he sees. The mogul just bought <a href=\"https:\/\/ggbnews.com\/article\/perelman-ups-stake-in-sci-games\/\" target=\"_blank\" rel=\"noopener noreferrer\">110,000 shares of stock<\/a>, enlarging his portion to 39.5% of the company. <strong>Wall Street<\/strong> liked what it heard, as share prices rose 5%. The move comes at a time with Scientific is trying to force out <strong>Sylebra<\/strong>, a multinational\u00a0<img loading=\"lazy\" class=\"alignleft size-medium wp-image-10418\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2013\/01\/scientific-games-corp-logo-300x147.jpg\" alt=\"\" width=\"300\" height=\"147\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2013\/01\/scientific-games-corp-logo-300x147.jpg 300w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2013\/01\/scientific-games-corp-logo-150x73.jpg 150w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2013\/01\/scientific-games-corp-logo-1024x503.jpg 1024w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2013\/01\/scientific-games-corp-logo.jpg 1862w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/>alleged to own a subsidiary involved in illegal gambling and terrorism. Scientific claims that Sylebra&#8217;s continued stonewalling of key information could lead to the latter being declared a &#8216;disqualified holder&#8217; of SGMS stock, forcing it to surrender its 8 million-plus shares. Stated the company,\u00a0\u201cScientific Games takes very seriously our obligation to maintain the highest standard of integrity and transparency with our regulators in <strong>Nevada<\/strong>, across the <strong>United States<\/strong> and around the world. As part of these efforts, we must be assured of the suitability of our major investors.\u201d<\/p>\n<p><img loading=\"lazy\" class=\"alignright size-full wp-image-11363\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2013\/08\/Harrahs-Reno.jpg\" alt=\"\" width=\"220\" height=\"220\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2013\/08\/Harrahs-Reno.jpg 220w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2013\/08\/Harrahs-Reno-150x150.jpg 150w\" sizes=\"(max-width: 220px) 100vw, 220px\" \/>* Nevada continues to outpace the rest of the nation in job growth. The Silver State was up 4% last month, adding 55,200 new jobs. This is the eight straight month in which Nevada has been number one. <strong>Reno<\/strong> grew most, at 6%, while <strong>Las Vegas<\/strong> lagged behind at 3%. That still bested the national average of 1.5%. As <strong>Department of Employment<\/strong> Chief Economist <strong>David Schmidt<\/strong> put it, &#8220;Together, these indicators point to how tight the Nevada labor market remains and the opportunities this should present Nevada\u2019s workers.\u201d<\/p>\n<p>* <em>Jeopardy<\/em> champion <strong>James Holzhauer<\/strong>&#8216;s next challenge is the <strong>World Series of Poker<\/strong>. The game show contestant says he&#8217;s got serious poker cred, dating back to his collegiate years at the <strong>University of Illinois<\/strong>. Poker player <strong>Mike Sexton<\/strong> is bankrolling Holzhauer&#8217;s entry into two WSOP events, of which Holzhauer says \u201cI played online poker semi-professionally in the early 2000s, but I don\u2019t intend to make a career of it now, as I\u2019m sure I wouldn\u2019t be good enough at it to justify forgoing other opportunities.\u201d His cyber-poker is a bit rusty, since he hasn&#8217;t played on the &#8216;Net since <strong>Black Monday<\/strong> in 2011. Sports betting, he says, is where his true casino skills lie.
