Given Morgans&#8217; propensity for scandal, disgrace and disaster (including helping to kill <strong>Echelon<\/strong>) during its ill-fated <strong>Hard Rock Hotel &amp; Casino<\/strong> tenure, executives at <strong>MGM Resorts International<\/strong> must have been reaching for the <strong>Excedrin<\/strong> this morning. The Morgans gang that couldn&#8217;t shoot straight <a href=\"http:\/\/www.bloomberg.com\/news\/2011-11-17\/morgans-to-buy-controlling-interest-in-light-group-for-about-46-5-million.html?cmpid=yhoo\" target=\"_blank\" rel=\"noopener noreferrer\" class=\"broken_link\">now has footholds<\/a> in <strong>Bellagio<\/strong>, <strong>Monte Carlo<\/strong> and <strong>Aria<\/strong>. If I were <strong>Alan Feldman<\/strong>, I&#8217;d pull the covers over my head and stay out of the office for a week &#8212; or at least until he can figure out a way to spin this potential PR nightmare as a dream come true.<\/p>\n<p>Remember, these are the guys who have the HRH fighting to keep its name after <strong>Rehab<\/strong> pool parties dragged the <strong>Hard Rock Caf\u00e9<\/strong> escutcheon through the mud, much to the chagrin of the <strong>Seminole Tribe<\/strong>. When the scandal-plagued Seminoles have a legitimate ethical beef with you, you&#8217;ve sunk pretty darn low.) MGM may have gotten into bed with <strong>Sam Nazarian<\/strong>&#8216;s nightclub chain by choice. Its <em>de facto<\/em> partnership with Morgans <a href=\"http:\/\/www.vegastripping.com\/news\/news.php?news_id=4400\" target=\"_blank\" rel=\"noopener noreferrer\" class=\"broken_link\">is akin to a shotgun wedding<\/a>. Maybe they can still close that Monte Carlo sale &#8230;<\/p>\n<p><img loading=\"lazy\" class=\"alignleft size-medium wp-image-7940\" title=\"gross\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/11\/gross-300x225.jpg\" alt=\"\" width=\"300\" height=\"225\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/11\/gross-300x225.jpg 300w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/11\/gross-150x112.jpg 150w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/11\/gross.jpg 490w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/>Hilariously, Morgans CEO <strong>Michael Gross<\/strong> <a href=\"http:\/\/finance.yahoo.com\/news\/Morgans-Hotel-Group-Acquire-prnews-3772989938.html?x=0&amp;l=1\" target=\"_blank\" rel=\"noopener noreferrer\" class=\"broken_link\">boasted that he believed<\/a> &#8220;the acquisition of the Light Group will position us to &#8230; drive average daily rate growth at existing hotels.&#8221; <em>Hahahahahahaha!<\/em> Oh, you kidder, you! That&#8217;s what then-CEO <strong>Ed Scheetz<\/strong> said when he overpaid for the HRH. Remember how he was gonna increase room rates and EBITDA? During Morgans&#8217; reign of error, ADRs and cash flow <em>fell<\/em> significantly. (Light Group already does business with Morgans at the latter&#8217;s <strong>Delano South Beach<\/strong>, in <strong>Miami Beach<\/strong>.) A full $18 million of the $46.5 million due Light Group&#8217;s owners is contingent upon <!--more-->Morgans\/TLG hitting certain EBITDA metrics here in Vegas (maintaining its current rate of cash flow, basically). However, if Morgans shareholders balk at electing presiding Light Group genius <strong>Andrew Sasson<\/strong> to the board (and I can think of no good reason why they should hesitate), he and partner <strong>Andy Masi<\/strong> get their additional $18 million immediately. <em>Where<\/em> they&#8217;d get it from is a good question, since Morgans is losing money hand over fist and has to be thinking that buying Light Group is the equivalent of hooking the company up to a giant ATM.<\/p>\n<p><img loading=\"lazy\" class=\"alignright size-full wp-image-7943\" title=\"andrew_bio_photo\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/11\/andrew_bio_photo.jpg\" alt=\"\" width=\"106\" height=\"106\" \/>As signatories to this Faustian pact, Light Group principals Sasson (<em>right<\/em>) and Masi have tied themselves to Morgans for 2.5 and 3.5 years, respectively. In addition to each holding 5% of the new Morgans\/Light Group entity (<strong>TLG Aquisition<\/strong>), they can convert the Morgans promissory notes into additional equity &#8212; gee, isn&#8217;t that what happened to <strong>Credit Suisse<\/strong> when it underwrote the HRH deal? They can also be forced out, <a href=\"http:\/\/biz.yahoo.com\/e\/111118\/mhgc8-k.html\" target=\"_blank\" rel=\"noopener noreferrer\">sometime in 2018, for 7X cash flow<\/a>. At Light Group&#8217;s current rate of performance, that would be a $55 million golden handshake for both gentlemen.<\/p>\n<p><img loading=\"lazy\" class=\"alignleft size-thumbnail wp-image-7942\" title=\"ron_jeremy\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/11\/ron_jeremy-100x150.jpg\" alt=\"\" width=\"100\" height=\"150\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/11\/ron_jeremy-100x150.jpg 100w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/11\/ron_jeremy.jpg 141w\" sizes=\"(max-width: 100px) 100vw, 100px\" \/>&#8220;<em>Given The Light Group&#8217;s strong relationship with MGM, this transaction provides new opportunities to work with MGM on strategic partnerships<\/em>,&#8221; boy wonder Gross implored, in what sounds like the Wishful Thinking Moment of 2011. (Interestingly, MGM has issued no official statement on the deal, nor supplied any boilerplate happy-talk quotations for the Morgans\/TLG announcement.) Judging by the anemic movement of Morgan&#8217;s low-priced stock, <strong>Wall Street<\/strong> isn&#8217;t impressed by this transaction and neither am I. Theoretically, Morgans has acquired a monetary pipeline and just has to let Masi keep doing his thing. But never underestimate Morgan&#8217;s ability to screw the pooch. It&#8217;s the <strong>Ron Jeremy<\/strong> of pooch-screwers.<\/p>\n<p><strong><img loading=\"lazy\" class=\"alignright size-medium wp-image-7944\" title=\"Boulevard-pool-at-night\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/11\/Boulevard-pool-at-night-300x202.jpg\" alt=\"\" width=\"300\" height=\"202\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/11\/Boulevard-pool-at-night-300x202.jpg 300w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/11\/Boulevard-pool-at-night-150x101.jpg 150w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/11\/Boulevard-pool-at-night.jpg 426w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/>On the subject of screwing<\/strong>, we shouldn&#8217;t let the week end without giving a swift backhand to <strong>Cosmopolitan of Las Vegas<\/strong>, <a href=\"http:\/\/www.lvbusinesspress.com\/articles\/2011\/11\/14\/opinion\/columnists\/schwartz\/iq_48613626.txt\" target=\"_blank\" rel=\"noopener noreferrer\">which has reneged on its free wi-fi<\/a>. As Dr. <strong>David G. Schwartz<\/strong> witheringly writes, the Cosmo&#8217;s so-called curious class &#8220;<em>might start wondering why just about every<\/em> <em><strong>Starbucks<\/strong>, public library, and <strong>La Quinta Inn<\/strong> can afford to provide its customers with a complimentary online hook-up, but a nearly new casino resort that prides itself on its high-tech flair can&#8217;t<\/em>.&#8221; Put that in your <strong>Twitter<\/strong> feed and smoke it, CEO <strong>John Unwin<\/strong>!<\/p>\n<p>I&#8217;ll offer a third hypothesis to Schwartz&#8217;s two: The Cosmo casino is sucking wind and this is one of the ways Unwin is going to recoup the lack of win. When times are tough, casino managements <a href=\"http:\/\/www.ratevegas.com\/blog\/2011\/11\/freebie_bye-bye.html\" target=\"_blank\" rel=\"noopener noreferrer\">traditionally begin by sweating comps<\/a>.
