The latter <a href=\"http:\/\/finance.yahoo.com\/news\/Wynn-Resorts-Board-Concludes-bw-2709402826.html?x=0\" target=\"_blank\" rel=\"noopener noreferrer\" class=\"broken_link\">has spent the last year<\/a> having former FBI boss <strong>Louis Freeh<\/strong> and sundry investigators <a href=\"http:\/\/www.ft.com\/cms\/s\/0\/fd4e18a2-5b10-11e1-ab75-00144feabdc0.html#axzz1mxgC9lOB\" target=\"_blank\" rel=\"noopener noreferrer\" class=\"broken_link\">check up on Okada<\/a> &#8212; and what a lot of dirt did Freeh&#8217;s sleuths find. Allegedly, Okada was showering state-run <strong>Philippines Amusement &amp; Gaming Corp<\/strong>. (PAGCOR) and other officials\u00a0 with gratuities here and there, from <strong>South Korea<\/strong> to <strong>Las Vegas<\/strong>, <a href=\"http:\/\/online.wsj.com\/article\/SB10001424052970203358704577233052477385494.html\" target=\"_blank\" rel=\"noopener noreferrer\">and even disclosed the palm-greasing<\/a> to fellow <strong>Wynn Resorts<\/strong> directors. (Government corruption in the <strong>Philippines<\/strong>? <em>Noooooooooooooooo!<\/em>) Wynn board member &#8212; and former <strong>Nevada<\/strong> governor &#8212; <strong>Bob Miller<\/strong> proclaimed himself &#8220;deeply disturbed&#8221; by Okada&#8217;s trail of largesse. It can&#8217;t have come as too much of a shock, however, since top Filipino gaming regulator <strong>Cristino Naguiat<\/strong> stayed at <strong>Wynn Macau<\/strong> two years ago on Okada&#8217;s dime. Nagiuat&#8217;s excuse? &#8220;[T]o learn more about the casino business.&#8221; Yes, you see, first you become a regulator and only <em>then<\/em> do you figure out what the hell you&#8217;re regulating &#8230;<\/p>\n<p>Naguiat himself passed the buck to &#8220;previous management&#8221; while raising the &#8212; distant and unlikely &#8212; possibility that <a href=\"http:\/\/www.abs-cbnnews.com\/business\/02\/20\/12\/pagcor-says-japanese-casino-operator-denies-wynn-bribery-allegations\" target=\"_blank\" rel=\"noopener noreferrer\" class=\"broken_link\">Okada&#8217;s Filipino gaming license could get nixed<\/a>. (Does anyone still wonder why American casino companies give the Philippines a wide berth?)<\/p>\n<p><img loading=\"lazy\" class=\"alignleft size-full wp-image-8227\" title=\"Okada 2\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2012\/01\/Okada-2.jpg\" alt=\"\" width=\"160\" height=\"232\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2012\/01\/Okada-2.jpg 199w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2012\/01\/Okada-2-103x150.jpg 103w\" sizes=\"(max-width: 160px) 100vw, 160px\" \/>As his company&#8217;s <a href=\"http:\/\/www.bloomberg.com\/news\/2012-02-19\/wynn-resorts-redeems-director-okada-s-stake-after-foreign-bribery-probe.html?cmpid=yhoo\" target=\"_blank\" rel=\"noopener noreferrer\" class=\"broken_link\">stock took a dive<\/a>, Okada responded by calling the PAGCOR flap a big misunderstanding and the 12-month internal probe &#8220;rushed.&#8221; (PAGCOR also denies any improper conduct on its part.) But it&#8217;s obviously a carefully orchestrated internal coup. The Freeh report&#8217;s findings give Wynn Resorts the bylaw justification it needs to forcibly liquidate Okada&#8217;s ownership stake. The buyout <a href=\"http:\/\/www.cnbc.com\/id\/46446625?__source=yahoo|headline|quote|text|&amp;par=yahoo\" target=\"_blank\" rel=\"noopener noreferrer\" class=\"broken_link\">is being financed with a $1.9 billion IOU<\/a> (plus 2% interest) and Okada can&#8217;t collect until 2022. It furthermore gives Wynn cover for taking back the shares at a &#8220;fair value&#8221; that happens to be a 31% discount to where they are currently trading. This preemptive strike is fortuitously timed to strip Okada of his voting bloc just when he&#8217;s trying to install four directors of his own choosing on the Wynn board. Instead, shareholders will be voting on <!--more-->whether or not to axe Okada, which will require a two-thirds majority. Of course, Okada has already announced a countersuit, so a fifth of all WYNN shares could be tied up in litigation for months, if not years of what the <em>Financial Times<\/em> calls &#8220;<a href=\"http:\/\/www.ft.com\/intl\/cms\/s\/3\/1d9d6efe-5bf3-11e1-bbc4-00144feabdc0.html#axzz1mxgC9lOB\" target=\"_blank\" rel=\"noopener noreferrer\" class=\"broken_link\">mud wrestling<\/a>.&#8221;<\/p>\n<p><strong>Other shareholders<\/strong> come out ahead, as their stakes immediately gain value. <strong>Deutsche Bank<\/strong>&#8216;s <strong>Carlo Santarelli<\/strong> hiked his price target for Wynn Resorts from $148 to $165\/share. However, he adds that future special dividends are unlikely, given the amount of money that will be borrowed for the Okada buyout.<\/p>\n<p><strong>Regardless of who&#8217;s<\/strong> in the right here, the fact remains that Okada&#8217;s questionable payments are dwarfed by <img loading=\"lazy\" class=\"alignright size-medium wp-image-8229\" title=\"Wynn_full\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2012\/01\/Wynn_full-300x300.jpg\" alt=\"\" width=\"300\" height=\"300\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2012\/01\/Wynn_full-300x300.jpg 300w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2012\/01\/Wynn_full-150x150.jpg 150w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2012\/01\/Wynn_full.jpg 360w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/>Wynn&#8217;s $135 million bequest to the <strong>University of Macau<\/strong>. Also, alleging that a board member violated the <strong>Foreign Corrupt Practices Act<\/strong> <a href=\"http:\/\/www.reuters.com\/article\/2012\/02\/19\/wynn-idUSL2E8DJ0AL20120219?feedType=RSS&amp;feedName=marketsNews&amp;rpc=43\" target=\"_blank\" rel=\"noopener noreferrer\">could very well ratchet up<\/a> the current <strong>SEC<\/strong> probe of Wynn&#8217;s overseas generosity from &#8220;informal&#8221; to serious business. El Steve also looks either foolish or hypocritical for having vouched for Okada with Nevada regulators eight years ago, let alone allowing him &#8220;<em>to refuse to sign the Company\u2019s Code of Conduct or participate in mandatory Foreign Corrupt Practices Act training for directors<\/em>,&#8221; in Wynn&#8217;s own words. However, by going public with what he&#8217;s dug up on <a href=\"http:\/\/blogs.reuters.com\/breakingviews\/2012\/02\/14\/steve-wynn-comes-up-unlucky-in-business-love-too\/\" target=\"_blank\" rel=\"noopener noreferrer\" class=\"broken_link\">his former &#8216;bromantic&#8217; partner<\/a>, Wynn also gives himself cover should the <strong>Nevada Gaming Control Board<\/strong> open a drowsy eye and take an interest in Okada&#8217;s alleged malfeasance. It&#8217;s harder to fine a company that blows the whistle on itself.<\/p>\n<p><strong>The biggest question of all<\/strong>, however, is what does this mean for Wynn&#8217;s expansion plans? Newly encumbered with nearly $2 billion in additional debt, it&#8217;s suddenly very questionable whether little <strong>Wynncores<\/strong> will be springing up in <strong>Massachusetts<\/strong>, <strong>Florida<\/strong>, <strong>Japan<\/strong> or just about anywhere else that isn&#8217;t named &#8220;<strong>Macao<\/strong>.&#8221; Right now, Wynn&#8217;s probable victory looks Pyhrric.<\/p>\n<p><strong>Speaking of coups<\/strong> &#8230; With its misspelled &#8220;Declartion [sic] of Participation&#8221; and pompous pronouncements that participating in democracy &#8220;is a privilege, not a right,&#8221; the Nevada GOP&#8217;s <strong>Special Sheldon Adelson Supplementary Caucus<\/strong> is a farcical gift <a href=\"http:\/\/www.lasvegassun.com\/news\/2012\/feb\/19\/what-really-happened-inside-gop-caucus\/\" target=\"_blank\" rel=\"noopener noreferrer\">that keeps on giving<\/a>.<\/p>\n<p><strong><img loading=\"lazy\" class=\"alignleft size-medium wp-image-7589\" title=\"Genting Miami\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/09\/Genting-Miami-300x205.jpg\" alt=\"\" width=\"300\" height=\"205\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/09\/Genting-Miami-300x205.jpg 300w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/09\/Genting-Miami-150x102.jpg 150w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/09\/Genting-Miami.jpg 600w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/>Too much, too soon?<\/strong> When it tried to rush the market <a href=\"http:\/\/www.miamiherald.com\/2012\/02\/11\/2650674\/casinos-at-the-crossroads-7-key.html\" target=\"_blank\" rel=\"noopener noreferrer\" class=\"broken_link\">with promises of a quickly built, temporary casino<\/a>, <strong>Genting Bhd<\/strong>. raised the ante one chip too high for <strong>Florida<\/strong>&#8216;s taste. Now it&#8217;s on the hook for a large parcel of <strong>Miami<\/strong> land and a pledge to build a hotel on it, regardless of how casino-expansion legislation went. Another lesson learned by Genting bigwig <strong>Colin Au<\/strong>: Don&#8217;t use profanity when testifying before the Florida Lege. It tends not to go over well. Oh, and <a href=\"http:\/\/www.miamiherald.com\/2012\/02\/11\/2650674_p3\/casinos-at-the-crossroads-7-key.html\" target=\"_blank\" rel=\"noopener noreferrer\" class=\"broken_link\">don&#8217;t have to walk back your own press releases<\/a> &#8230; or wait two months to do it. But if you take the long view &#8212; as <strong>MGM Resorts International<\/strong> does, even if <strong>Las Vegas Sands<\/strong> does not &#8212; Genting moved the ball forward. And because it&#8217;s sitting on a big, real estate <em>fait accompli<\/em>, the prospect of a Vegas-style casino in Miami has now taken on tangible form.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Looks like Kazuo Okada brought a knife to a gunfight with Steve Wynn.
