{"id":8964,"date":"2012-05-08T11:54:14","date_gmt":"2012-05-08T19:54:14","guid":{"rendered":"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/?p=8964"},"modified":"2012-05-08T13:59:53","modified_gmt":"2012-05-08T21:59:53","slug":"st-louis-penn-in-harrahs-out","status":"publish","type":"post","link":"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/st-louis-penn-in-harrahs-out\/","title":{"rendered":"St. Louis: Penn in, Harrah&#8217;s out"},"content":{"rendered":"<p>A ways back, the news broke that <strong>Caesars Entertainment<\/strong> &#8212; being well and truly on its uppers &#8212; was trying to shop as many as 10 Southern and Midwest casinos. The goal was to raise at least $500 million to pay for CEO <strong>Gary Loveman<\/strong>&#8216;s promiscuous development commitments along the Eastern Seaboard. Well, if a half-billion was all that was needed, Loveman <a href=\"http:\/\/www.stltoday.com\/business\/local\/st-louis-region-s-second-busiest-casino-to-change-hands\/article_95132552-988c-11e1-910c-001a4bcf6878.html\" target=\"_blank\">made his goal and them some<\/a>, offloading <strong>Harrah&#8217;s Maryland Heights Casino<\/strong> to <strong>Penn National Gaming<\/strong> for $610 million.<\/p>\n<p><img loading=\"lazy\" class=\"alignleft size-full wp-image-8965\" title=\"Harrah's St Louis\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2012\/05\/Harrahs-St-Louis.jpg\" alt=\"\" width=\"300\" height=\"196\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2012\/05\/Harrahs-St-Louis.jpg 300w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2012\/05\/Harrahs-St-Louis-150x98.jpg 150w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/>It&#8217;s a costly deal for both sides. Penn paid almost 8X cash flow, a premium price on the face of it (but &#8230; see below), and will inherit deferred-maintenance issues. In true Loveman fashion, Harrah&#8217;s Maryland Heights &#8220;<em>has seen relatively little investment in recent years, even as new  rivals around the region have opened up and old ones have expanded<\/em>,&#8221; according to the <em>St. Louis Post-Dispatch<\/em>. It also creates the problem for Penn of what to do with <em>Argosy Alton Belle<\/em>, its low-grossing riverboat (roughly $6 million a month, compared to Harrah&#8217;s $22.5 million) just 25 miles away in <strong>Illinois<\/strong>. Penn will consolidate management of the two, thereby realizing some near-term savings, and it could run <em>Alton Belle<\/em> as a &#8220;convenience gambling&#8221; grind joint. However, were I an employee there, I&#8217;d start <!--more-->updating my resum\u00e9: Penn is overexposed in Illinois, as we discussed yesterday, and <em>Alton Belle<\/em>&#8216;s fortunes have declined severely from its glory days as an <strong>Argosy Gaming<\/strong> flagship. I&#8217;d expect the &#8220;for sale&#8221; sign to go up soon.<\/p>\n<p><strong><img loading=\"lazy\" class=\"alignleft size-medium wp-image-4655\" title=\"suffolk downs\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/09\/suffolk-downs-300x147.jpg\" alt=\"\" width=\"300\" height=\"147\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/09\/suffolk-downs-300x147.jpg 300w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/09\/suffolk-downs-150x73.jpg 150w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/09\/suffolk-downs.jpg 432w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/>The deal represents a big trade-off <\/strong>for Caesars. It forgoes $270 million\/year in revenue over the next few years, with the hope that projects in <strong>Massachusetts<\/strong>, <strong>Maryland<\/strong> and maybe even <strong>Florida<\/strong> have come to fruition in a big way by the time those whopping debt maturities come due in 2015 &#8212; although casino RFPs in Loveman&#8217;s home state won&#8217;t go out until next year. Penn&#8217;s $610 million should be sufficient to bankroll Loveman&#8217;s commitments to <strong>Baltimore<\/strong> and to <strong>Suffolk Downs<\/strong> (<em>above<\/em>), perhaps more. (There&#8217;s always <strong>Toronto<\/strong>, but I don&#8217;t rate Caesars chances there highly and Loveman&#8217;s interest <a href=\"http:\/\/www.cbc.ca\/news\/canada\/windsor\/story\/2012\/05\/07\/wdr-caesars-windsor-toledo-toronto-casinos.html\" target=\"_blank\">looks suspiciously like a fallback<\/a> from besieged <strong>Caesars Windsor<\/strong>.) Dr. <strong>David G. Schwartz<\/strong> tells the <em>Las Vegas Review-Journal<\/em> that the Harrah&#8217;s lucre might go to pay down the company&#8217;s gargantuan debt but I suspect he&#8217;s pulling our leg. Paying debt is the <em>last<\/em> thing Captain Deadbeat, I mean Loveman would do with that money and even then not unless bankers put a gun to his head.<br \/>\n<object classid=\"clsid:d27cdb6e-ae6d-11cf-96b8-444553540000\" width=\"450\" height=\"315\" codebase=\"https:\/\/download.macromedia.com\/pub\/shockwave\/cabs\/flash\/swflash.cab#version=6,0,40,0\"><param name=\"allowFullScreen\" value=\"true\" \/><param name=\"allowscriptaccess\" value=\"always\" \/><param name=\"src\" value=\"https:\/\/www.youtube-nocookie.com\/v\/UYu11bpfCjo?version=3&amp;hl=en_US\" \/><param name=\"allowfullscreen\" value=\"true\" \/><embed type=\"application\/x-shockwave-flash\" width=\"450\" height=\"315\" src=\"https:\/\/www.youtube-nocookie.com\/v\/UYu11bpfCjo?version=3&amp;hl=en_US\" allowscriptaccess=\"always\" allowfullscreen=\"true\"><\/embed><\/object><\/p>\n<p style=\"text-align: center;\"><em>Making way for the megaresort that never was: Harrah&#8217;s Margaritaville<\/em>.<\/p>\n<p style=\"text-align: left;\">The company also just took a $167.5 million first-quarter bath on its failed <strong>Margaritaville<\/strong> megaresort attempt in <strong>Biloxi<\/strong>, which I interpret as positioning <strong>Grand Biloxi Casino Hotel &amp; Spa<\/strong> for a sale. Like Penn, Caesars is about to open the cash spigot in <strong>Ohio<\/strong>. But, unlike Penn, Caesars&#8217; financial debility means it&#8217;ll be riding sidecar to <strong>Dan Gilbert<\/strong>, settling for a fifth of the action (plus management fees), while Penn owns the entire revenue stream at its casinos-to-be.<\/p>\n<p><strong><img loading=\"lazy\" class=\"alignleft size-full wp-image-5063\" title=\"HET Council Bluffs\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/11\/HET-Council-Bluffs.jpg\" alt=\"\" width=\"300\" height=\"225\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/11\/HET-Council-Bluffs.jpg 300w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/11\/HET-Council-Bluffs-150x112.jpg 150w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/>Loveman&#8217;s stated goal<\/strong> is trading &#8220;occasional divestitures&#8221; for &#8220;expanding our distribution network into growth markets that have the potential for high returns.&#8221; However, what he probably had in mind was unloading dogs like serial underperformer <strong>Harrah&#8217;s Council Bluffs<\/strong> (<em>left<\/em>) or peddling a surplus casino here (<strong>Tunica<\/strong>), maybe there (<strong>Atlantic City<\/strong>). Instead, he&#8217;s forfeiting a major market &#8212; <strong>St. Louis<\/strong> &#8212; so he can afford to enter the low-return Baltimore one instead and impress the home-town crowd in <strong>Boston<\/strong>. Lucky for him, <strong>Steve Wynn<\/strong> is <a href=\"http:\/\/www.wbur.org\/2012\/05\/08\/foxborough-casino-vote\" target=\"_blank\">facing odds that are damned near insurmountable<\/a> &#8230; despite being one of the few casino applicants who fits the profile <strong>Massachusetts Gaming Commission<\/strong> members say they&#8217;re seeking. Contrary to my prediction, Loveman won&#8217;t be settling for the Class II slot parlor permitted under Massachusetts law. In any event, <strong>Plainridge Racecourse<\/strong> <a href=\"http:\/\/www.boston.com\/news\/local\/massachusetts\/articles\/2012\/04\/26\/in_plainville_plainridge_racecourse_off_and_running_in_bid_for_slots_license\/\" target=\"_blank\" class=\"broken_link\">will beat Caesars to the punch<\/a>. The slot parlor will be bid out first, so Loveman&#8217;s staking everything on getting Class III games at Suffolk Downs.<\/p>\n<p><strong><img loading=\"lazy\" class=\"alignright size-full wp-image-7333\" title=\"GaryLoveman_big\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/08\/GaryLoveman_big.jpg\" alt=\"\" width=\"103\" height=\"139\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/08\/GaryLoveman_big.jpg 120w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/08\/GaryLoveman_big-111x150.jpg 111w\" sizes=\"(max-width: 103px) 100vw, 103px\" \/>The <em>Post-Dispatch<\/em> headline said<\/strong> it well: &#8220;second-busiest casino to change hands.&#8221; That&#8217;s the price of Caesars&#8217; empire-building. While this acquisition will get pricier once the capex-maintenance bills start mounting (<strong>Joseph Greff<\/strong> projects $20 million in new-slot\/signage costs right off the bat), the upside for Penn looks tremendous. Besides, the company expects to achieve some tax savings that will reduce to price tag to a bargain-rate 6.75X cash flow. There could be late-2012\/2013 player defections to nearby St. Louis rivals <strong>Ameristar Casinos<\/strong> and <strong>Pinnacle Entertainment<\/strong>, depending on how much punter data Caesars is willing to share with Penn on its way out the door &#8230; precious little, I&#8217;d expect.<\/p>\n<p><strong><img loading=\"lazy\" class=\"alignleft size-medium wp-image-1775\" title=\"DSCN1791\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/01\/DSCN1791-300x225.jpg\" alt=\"\" width=\"300\" height=\"225\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/01\/DSCN1791-300x225.jpg 300w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/01\/DSCN1791-150x112.jpg 150w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/01\/DSCN1791.JPG 500w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/>Another attempted asset sale<\/strong> that continues to hang fire is that of <strong>The Rio<\/strong>, Caesars&#8217; red-headed stepchild. Perhaps the vicious degree of neglect Loveman and the now-departed <strong>Marilyn Winn<\/strong> visited upon it represents Oedipal payback toward predecessor <strong>Phil Satre<\/strong>. Who knows? From what I&#8217;ve been hearing, Caesars has needed to come down 20% off its Rio asking price in order to move it, and won&#8217;t. But, judging by how &#8220;ghetto&#8221; the exterior of The Rio is looking, I&#8217;d say the discount will need to be steeper still. About the only way to get The Rio for a fair price would be for you to buy some Caesars debt at a distressed rate and trade it for what used to be the most beautiful building on the Strip &#8230; although Loveman&#8217;s managed to fuck that up by good.<\/p>\n<p><strong><img loading=\"lazy\" class=\"alignright size-full wp-image-5083\" title=\"penn-national-gaming\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/11\/penn-national-gaming.jpg\" alt=\"\" width=\"195\" height=\"45\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/11\/penn-national-gaming.jpg 195w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/11\/penn-national-gaming-150x34.jpg 150w\" sizes=\"(max-width: 195px) 100vw, 195px\" \/>Penn on the move<\/strong>. After a lot of sniffing around in western Massachusetts, Penn has momentarily <a href=\"http:\/\/www.masslive.com\/news\/index.ssf\/2012\/05\/penn_national_gaming_interested_in_westfield_casino_site.html\" target=\"_blank\" class=\"broken_link\">settled upon an infrastructure-challenged site<\/a> in <strong>Westfield<\/strong>. <a href=\"http:\/\/www.masslive.com\/news\/index.ssf\/2012\/04\/casino_developers_looking_at_w.html\" target=\"_blank\" class=\"broken_link\">Access is gonna be a bitch<\/a>, which is is what put <strong>MGM Resorts International<\/strong> off its feed in <strong>Brimfield<\/strong>, and <strong>Hard Rock International<\/strong> has already bailed on Westfield. Penn is certainly capable of meeting Mayor <strong>Daniel M. Knapik<\/strong>&#8216;s criteria. His call for an &#8220;entertainment-based&#8221; facility harmonizes nicely with Penn&#8217;s <strong>Hollywood<\/strong> brand. With MGM poking around in the sticks (and newly fixated upon Toronto), this still looks like an Ameristar vs. Penn battle.<\/p>\n<p><strong><img loading=\"lazy\" class=\"alignright size-full wp-image-4104\" title=\"massachusetts_flag\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/07\/massachusetts_flag.gif\" alt=\"\" width=\"207\" height=\"244\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/07\/massachusetts_flag.gif 207w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2010\/07\/massachusetts_flag-127x150.gif 127w\" sizes=\"(max-width: 207px) 100vw, 207px\" \/>By hook or by crook<\/strong>, there&#8217;s going to be a casino for the <strong>Mashpee Wampanoag<\/strong> tribe, at least as long as there&#8217;s a tribal-friendly administration in <strong>Washington, D.C.<\/strong> (which could change next January). Massachusets&#8217; one-casino set aside for the tribe is being challenged by the courts and state regulators don&#8217;t have to approve the Wampanoag&#8217;s application &#8212; although the fix is pretty much in for them. And if, for some reason, the state doesn&#8217;t like what it sees from the tribe, the latter&#8217;s still got at least seven months to try and make an end-run by way of the Obama administration and the aptly named &#8220;<em>Carcieri<\/em> fix.&#8221;<\/p>\n<p>And, in case all that fails, a rival Wampanoag band <a href=\"http:\/\/bostonglobe.com\/metro\/2012\/05\/07\/wampanoag-tribe-aquinnah-announces-development-partner-tribal-casino\/xmgVGV5hHoywhEH3ERklmL\/story.html\" target=\"_blank\">is pitching its own casino project<\/a>. The <strong>Aquinnah Tribe<\/strong>, however, is in a sticky legal wicket largely of its own making and Gov. <strong>Deval Patrick<\/strong> (D) is disinclined to help. Also, financier of choice <strong>KMD Consulting Services<\/strong> is a relatively lightweight outfit, its specialty seeming to be developing casinos in tertiary markets for tribes who have little or no capital of their own. However, the Aquinnah <a href=\"http:\/\/www.southcoasttoday.com\/apps\/pbcs.dll\/article?AID=\/20120413\/NEWS\/204130336\/-1\/NEWS10\" target=\"_blank\" class=\"broken_link\">have a few aces up their sleeves<\/a>, including land in trust on a prime spot (<strong>Martha&#8217;s Vineyard<\/strong>) and possible recourse to the <strong>Interior Department<\/strong> if Patrick continues to give them the cold shoulder.<\/p>\n<p><img loading=\"lazy\" class=\"alignleft size-medium wp-image-7706\" title=\"massachusetts-quarter\" src=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/10\/massachusetts-quarter-300x300.jpg\" alt=\"\" width=\"141\" height=\"141\" srcset=\"https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/10\/massachusetts-quarter-300x300.jpg 300w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/10\/massachusetts-quarter-150x150.jpg 150w, https:\/\/www.lasvegasadvisor.com\/stiffs-and-georges\/wp-content\/uploads\/2011\/10\/massachusetts-quarter.jpg 320w\" sizes=\"(max-width: 141px) 100vw, 141px\" \/>The Mashpee Wampanoags, meanwhile, <a href=\"http:\/\/www.heraldnews.com\/news\/x787573056\/Tribe-to-reveal-more-details-on-Taunton-casino-proposal#ixzz1t9WSVbjR\" target=\"_blank\" class=\"broken_link\">are proceeding with all deliberate speed<\/a>. The $500 million, <a href=\"http:\/\/www.tauntongazette.com\/news\/x1364632046\/Tribe-and-city-officials-gather-to-discus-Taunton-casino-details?photo=0\" target=\"_blank\" class=\"broken_link\">three-hotel development<\/a> would be built in <strong>East Taunton<\/strong>, whether residents there want it or not. (<a href=\"http:\/\/www.tauntongazette.com\/x677628525\/Casino-ballot-question-finalized-in-Taunton\" target=\"_blank\" class=\"broken_link\">A June referendum is nonbinding<\/a>.) However, IGRA compliance &#8220;could take years&#8221; and the purse strings are controlled by<strong> Genting Berhad<\/strong> CEO <strong>PK Lim<\/strong>. <strong>Malaysia<\/strong>&#8216;s been a favored source of finance for tribal casinos, but usually at punitive interest rates, so it would likely be a very long time before the Mashpee see any substantial benefit from their gift-wrapped casino.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>A ways back, the news broke that Caesars Entertainment &#8212; being well and truly on its uppers &#8212; was trying to shop as many as 10 Southern and Midwest casinos.
